I.
We would like to inform you that on 16.12.2022 (the Effective Date) a cross-border merger of three companies took place:

 

1. Intechplast S.A. in Warsaw ul. Oboźna 1, (00-340) Warsaw, registered in the National Court Register (KRS) under KRS number 0000533297,
2. Brandbull Polska S.A. in Warsaw ul. Daniszewska 22C/1, (03- 230) Warsaw, registered in the National Court Register (KRS) under KRS number 0000688400,

and

3. Brandbull International S.A. in Luxembourg rue Jean-Pierre Brasseur 1, L-1258 Luxembourg, Grand Duchy of Luxembourg – a Luxembourg joint stock company (société anonyme), operating under the laws of the Grand Duchy of Luxembourg, registered in the Luxembourg Register of Commerce and Companies (Registre de Commerce et des Sociétés, Luxembourg – RCSL) under number B 239472.

 

II.
The cross-border merger was effected in accordance with:
(i) Article 516 (1) et seq. of the Polish Commercial Partnerships and Companies’ Code (CCC),
(ii) the provisions of the Luxembourg law of August 10, 1915 on commercial companies, and
(iii) Articles 118 – 133 of Directive (EU) 2017/1132 of the European Parliament and of the Council of 14.06.2017 relating to certain aspects of company law.

 

III.
As a result of the cross-border merger of the indicated three companies, a joint-stock company under Luxembourg law, i.e. Brandbull International S.A in Luxembourg – as the sole owner to date of Intechplast S.A in Warsaw and Brandbull Polska S.A in Warsaw – took over the said Polish joint-stock companies (merger by acquisition).
The above means that as of the Effective Date, all liabilities and assets of the Polish companies acquired were transferred to Brandbull International S.A in Luxembourg, as the acquiring company (universal succession), and the Polish companies acquired ceased to exist.

In accordance with Article 516(1) of the CCC in connection with Article 494 §1 and 2 of the CCC and Article 131(1) of Directive (EU)2017/1132 of the European Parliament and of the Council of 14.06.2017 relating to
certain aspects of company law, Brandbull International S.A in Luxembourg, as of the Effective Date, by law, entered into all the rights and obligations of Brandbull Polska S.A. in Warsaw and Intechplast S.A. in Warsaw.
The above means, among other things, that Brandbull International S.A. in Luxembourg entered, by operation of law, into all rights and obligations arising from agreements concluded by Brandbull Polska S.A. in Warsaw and Intechplast S.A. in Warsaw.
As of the Effective Date, all permits, licenses, certificates, etc., which were issued prior to the date of the merger with respect to Brandbull Polska S.A. in Warsaw and Intechplast S.A. in Warsaw, also passed to
Brandbull International S.A. in Luxembourg.

 

IV.
Regardless of the legal effects of the above-described cross-border merger, the existing business activities in Poland of the acquired companies, i.e. Intechplast S.A in Warsaw and Brandbull Polska S.A in Warsaw, will be continued on the basis of Polish personnel and assets of the acquired companies located in Poland.

 

To this end, in accordance with the provisions of the Act of March 6, 2018. on the principles of participation of foreign entrepreneurs and other foreign persons in economic turnover on the territory of the Republic of Poland (i.e. Journal of Laws 2022.470), Brandbull International S.A in Luxembourg, as a foreign entrepreneur, in accordance with the provisions of the aforementioned Act, established Brandbull International S.A. Oddział w Polsce [Brandbull International S.A. Branch in Poland], which was registered in the National Court Register (KRS) under number 0001000706. At the same time, Brandbull International S.A in Luxembourg, for the purposes of its current business activity in Poland, obtained the
Polish Tax Identification Number [NIP] 6182195419.

 

Brandbull International S.A. Oddział w Polsce has been established at the current location of the production plant of Brandbull Polska S.A. in Kalisz at ul. Przybrzeżna 37.
In accordance with the provisions of the referenced Act of March 6, 2018. on the principles of participation of foreign entrepreneurs and other foreign persons in economic turnover on the territory of the Republic of Poland in Brandbull International S.A. Oddział w Polsce, persons authorized to represent the foreign entrepreneur in Poland on a single person representation have been established, and it has been decided that these authorized persons will be Janko Dolenc and Kamil Górecki – the persons who previously managed Brandbull Polska S.A. in Warsaw and Intechplast S.A. in Warsaw. In addition, the acquiring foreign company also granted the necessary commercial proxy.

 

The above means that within the framework of the existing  ooperation, apart from the change of the very data of your contractor, nothing else changes.

I.
Pragniemy poinformować, że w dniu 16.12.2022 (dzień połączenia) nastąpiło transgraniczne połączenie
trzech spółek:

1. Intechplast S.A. w Warszawie ul. Oboźna 1, (00-340) Warszawa, zarejestrowanej w Krajowym Rejestrze Sądowym (KRS) pod numerem KRS 0000533297,
2. Brandbull Polska S.A. w Warszawie ul. Daniszewska 22C/1, (03- 230) Warszawa, zarejestrowanej w Krajowym Rejestrze Sądowym (KRS) pod numerem KRS 0000688400,
oraz
3. Brandbull International S.A. w Luksemburgu ul. Jean-Pierre Brasseur 1, L-1258 Luksemburg, Wielkie Księstwo Luksemburga – luksemburskiej spółki akcyjnej (société anonyme), działającej na
podstawie prawa Wielkiego Księstwa Luksemburga, zarejestrowanej w luksemburskim Rejestrze Handlu i Spółek (Registre de Commerce et des Sociétés, Luxembourg – RCSL) pod numerem B 239472.

 

II.
Transgraniczne połączenie spółek nastąpiło na podstawie:
(i) art. 516 (1) i następnych Kodeksu spółek handlowych,
(ii) przepisów luksemburskiej ustawy z dnia 10 sierpnia 1915 r. o spółkach handlowych, oraz
(iii) art. 118 – 133 Dyrektywy Parlamentu Europejskiego i Rady (UE) 2017/1132 z 14.06.2017r. w sprawie niektórych aspektów prawa spółek.

 

III.
W wyniku transgranicznego połączenia wskazanych trzech spółek, spółka akcyjna prawa luksemburskiego tj. Brandbull International S.A w Luksemburgu – jako wyłączny dotychczas właściciel spółek Intechplast S.A w Warszawie oraz Brandbull Polska S.A w Warszawie – przejęła wymienione polskie spółki akcyjne (połączenie przez przejęcie).

 

Powyższe oznacza, że z dniem połączenia wszystkie pasywa i aktywa polskich spółek przejmowanych zostały przeniesione na Brandbull International S.A w Luksemburgu, jako spółkę przejmująca (sukcesja uniwersalna), a polskie spółki przejmowane przestały istnieć.
Stosownie do treści art. 516(1) k.s.h. w zw. z art. 494 §1 i 2 k.s.h. oraz art. 131 ust. 1 Dyrektywy Parlamentu Europejskiego i Rady (UE) 2017/1132 z 14.06.2017r. w sprawie niektórych aspektów prawa spółek, Brandbull International S.A w Luksemburgu z dniem połączenia z mocy samego prawa wstąpiła we wszystkie prawa i obowiązki Brandbull Polska S.A. w Warszawie oraz Intechplast S.A. w Warszawie.

 

Powyższe oznacza m.in., że Brandbull International S.A. w Luksemburgu z mocy samego prawa wstąpiła we wszystkie prawa i obowiązki wynikające z umów zawartych przez Brandbull Polska S.A. w Warszawie oraz Intechplast S.A. w Warszawie.

 

Z dniem połączenia na Brandbull International S.A. w Luksemburgu przeszły również wszelkie zezwolenia, koncesje, certyfikaty, itp., które przed dniem połączenia zostały wydane w odniesieniu do Brandbull Polska S.A. w Warszawie oraz Intechplast S.A. w Warszawie.

 

IV.
Niezależnie od skutków prawnych opisanego powyżej transgranicznego połączenia, dotychczasowa działalność w Polsce przejętych spółek tj. Intechplast S.A w Warszawie oraz Brandbull Polska S.A w Warszawie będzie kontynuowana w oparciu o polska kadrę i znajdujące się na terenie Polski składniki majątkowe spółek przejmowanych.

 

W tym celu, zgodnie z przepisami ustawy z dnia 6 marca 2018r. o zasadach uczestnictwa przedsiębiorców zagranicznych i innych osób zagranicznych w obrocie gospodarczym na terytorium Rzeczypospolitej
Polskiej (t.j. Dz.U. 2022.470), Brandbull International S.A w Luksemburgu, jako przedsiębiorca zagraniczny, stosownie do przepisów powołanej ustawy, utworzyła Brandbull International S.A. Oddział w Polsce, który został zarejestrowany w Krajowym Rejestrze Sądowym (KRS) pod numerem 0001000706.
Jednocześnie Brandbull International S.A w Luksemburgu dla potrzeb bieżącej działalności gospodarczej w Polsce uzyskała polski numer NIP 6182195419.

 

Brandbull International S.A. Oddział w Polsce został utworzony w dotychczasowym miejscu zakładu produkcyjnego Brandbull Polska S.A. w Kaliszu przy ul. Przybrzeżnej 37.

 

Zgodnie z przepisami powołanej ustawy z dnia 6 marca 2018r. o zasadach uczestnictwa przedsiębiorców zagranicznych i innych osób zagranicznych w obrocie gospodarczym na terytorium Rzeczypospolitej
Polskiej w Brandbull International S.A. Oddział w Polsce ustanowiono osoby upoważnione do jednoosobowej reprezentacji przedsiębiorcy zagranicznego w Polsce, przy czym zdecydowano, że tymi upoważnionymi osobami będą Janko Dolenc i Kamil Górecki – osoby zarządzające dotychczas Brandbull Polska S.A. w Warszawie i Intechplast S.A. w Warszawie. Nadto przejmująca spółka zagraniczna udzieliła także niezbędnej prokury.

 

Powyższe oznacza, że w ramach dotychczasowej współpracy, poza zmianą samych danych Państwa kontrahenta, nic innego nie ulega zmianie.

 

V.
Uwzględniając powyższe uprzejmie informujemy o nowych danych spółki po połączeniu:
